FIRST AMENDMENT TO AGREEMENT FOR AUGUSTA-RIOtMONO COUNTY
EMERGENCY MEDICAL AMBUlANCE seRVICES
This First Amendment to the Agreement for Augusta-Richmond COunty Emergency
Medical Services dated the _ day of
. 2005, bV and between Gold Cross EMS.
Inc. (the "Contractor") and Augusta-Richmond County. Georgia (the "'County") (collectively the
"Parties") is made and entered Into this Li!... day of Q; 0_ -< . 20q to be effective as of
12:01 a.m. on January 1, 2009.
WITNESSETH
WHEREAS, the Parties have heretofore entered into an U Agreement for Augusta-
Richmond County EmergenCy Medical Ambulance Services" dated the _ day of
.2005 (the "Agreement");
WHEREAS, the Parties desire to amend the Agreement in certain particulars as herein
set forth;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein
ratified and adopted and agreed upon, the premises and for other good and valuable
consideration, the sufficiency and adequacy of which is hereby jointly acknowledged, the
Parties agree as follows:
Sec:tton one. Amendment of ArticJe II. Section 2.1. TeOTl.
Article II, section 2.1, of the Agreement is hereby amended by deleting same In Its
entirety and substituting in lieu thereof the following:
2.1. Term. The term of this Agreement shall commence on
January 1, 2009 at 12:01 a.m. and end at 12:00 midnight on
December 31,2011 with renewal rights as specified below.

~ Two. Amendment of Article Ill. Section 3.2. Subsidv.
Article III, Section 3.2 of the Agreement is hereby amended by deleting same in Its
entirety and substituting In lieu thereof the following:
3.2 Subsidy. County agrees to pay the following Subsidy:
Year 1 (2009) - The Subsidy shall be $50,000.00 less than the
Subsidy for calendar year 2008.
Year 2 (2010) - The Subsidy shall be $5OJooo.00 less than the
Subsidy for calendar year 2009.
Year 3 (2011) - The Subsidy shall be the same as for calendar year
2010.
SectIon Three. Renewal.
Following the Term specified in Article Uabove, this Agreement shall
automatically renew for consecutive two-year Terms unless either party provides
the other with written notice of its intent to (:Incel the Agreement at least nine
(9) months before the end of the then existing Term. The Parties agree that this
IS a contract. for services of the type that does not require a rebidding process to
be renewed but may be cancelled as provided above. The Parties agree that,
120 days prior to the end of any Term Dr Renewal Term, they will consult with
one another concerning any desired or necessary adjustments or amendments
to this Agreement.
Sedlon Four. Ratfficatltm.
All other terms and provisions of the Agreement are hereby ratified,
confirmed, adopted and incorporated herein as if originally set forth herein. To
the extent this Amendment conflicts with the provisions of the original

Agreement or there is an apparent conflict in intent, this Amendment shall
control.
