' In consideration of the covenants and conditions hereinafter set forth, Company and Contractor agre(: as follows: 1. Scope of Work Contractor shall perform the following services for the Company (the "Work"): (a) Micro loan fund operating procedures manual, software, and staff training. The purpose oftms work is to organize and establish a micro loan fund for the low-income citizens of Augusta, Georgia. The loan fund will be funded, implemented, and administered by the Company. The work product (deliverable) will be an operating procedures manual that provides for a turnkey implementation of a loan fund: loan fund structure, client outreach proCE:SS, loan underwriting and approval process, risk management procedures, client technical assistance options, loan servicing portfolio management (based on software recommendation), and staff professional development. (b) Marketing outreach, training, and technical assistance. The purpose of this work is to increase the capacity of potential loan fund clients in managing their business venture. The work product (deliverables) will be: (a) an outreach coordinator to serve as a central point of contact on microenterprise training programs availability in Augusta; (b) ac.cess to markets training sessions to these programs; (c) one-on-one counseling to potential loan fund clients from these programs to improve the marketing of their products and services; and (d) a sectoral marketing survey of the Augusta market. The purpose of this work is to make low-income citizens of Augusta aware of microenterprise business development training and the existence of the loan fund. In addition, the technical assistance will support market outreach for microbusiness products and services. GMEN will contract with an Augusta area vendor for these mark(:ting services (320 hours). 1 ;:) ". 2. Work Schedule Contractor shall conduct work per the following schedule. Contractor shall provide a monthly written report to the Company's Business Development Specialist regarding progress on assignments. 2003 time line Loan fund development Marketing activities March Finalize prime contract with Secure sub contract with local company vendor Review defunct business loan Start outreach activities fund in the area Begin industry best practices research April Complete Georgia loan fund Start marketing training & practices research technical assistance with Augusta area microenterprise Begin loan fund software training programs research & site visits May Complete software research Develop marketing brochure June Draft operating procedures Complete Richmond county manual & start software market opportunities survey testing July Edit operations manual August Deliver final operating Document training & technical procedures manual & software assistance inside the loan fund recommendation operations manual 3. Term This Agreement shall commence on March 1, 2003 and shall expire on September 1, 2003. Contractor agrees to perform services for the Work to Company on or before the expiration of the term set forth above.. 2 ....- ".. 4. Payment (a) Contractor will be paid $50,000 for Work performed under this Agreement. Payment will be made on a monthly basis, based on invoices for services as rendered. Contractor win submit an invoice for each payment. The Company shall pay invoices within 15 business days of receipt. 5. W arranti('~ Contractor warrants that: (a) Contractor's agreement to perform the Work pursuant to this Agreement does not violate any agreement or obligation between Contractor and a third party; and (b) The Work as delivered to the Company will not infringe any copyright, patent, trade secret, or other proprietary right held by any third party; and (c) The services provided by Contractor shall be performed in a professional manner, and shall be of a high grade; nature; and quality. The services shall be performed in a timely manner and shall meet deadlines agreed between Contractor and the Company. 6. Entire Agreement This Agreement contains the entire agreement and understanding between the parties hereto and supersedes any prior or contemporaneous written or oral agreements, representations and warranties between them respecting the subject matter.
