HomeMy WebLinkAboutFrazier Associates Augusta Richmond GA DOCUMENT NAME: ('(Ql:-\c:,'( Ass~~ DOCUMENT TYPE: ~\~ YEAR: C1l9- BOX NUMBER: Od FILE NUMBER: \ c9~ ~ <t;' NUMBER OF PAGES: \0 STATE OF GEORGIA RICHMOND COUNTY AGREEMENT This agreement is hereby established jointly between the Augusta-Richmond County Commission (hereinafter: AUGUSTA-RICHMOND COUNTY), whose address is 530 Greene Street, Augusta, Georgia 30911, and Frazier Associates (hereinafter: CONTRACTOR), whose address is 213 North Augusta Street, Staunton Virginia 24401. WITNESSETH WHEREAS, AUGUSTA-RICHMOND COUNTY has duly applied for and been awarded a matching Federal grant to complete the Bethlehem District Design Guidelines, and; WHEREAS, AUGUSTA-RICHMOND COUNTY is able to contract with an organization or individual capable of providing services to complete the Bethlehem District Design Guidelines, and; WHEREAS, CONTRACTOR is able and willing to perform the professional services more particularly described herein. NOW THEREFORE, in consideration of the following mutual promises, covenants, and conditions, AUGUSTA-RICHMOND COUNTY and CONTRACTOR agree as follows: A. OBLIGATIONS OF CONTRACTOR 1. CONTRACTOR shall perform the work and services as herein provided, and as more fully described in Exhibit "A", Proposed Work Plan", which is attached hereto and incorporated by reference. The Proposed Work Plan is taken from the proposal submitted by the CONTRACTOR and dated September 5, 1996. 2. It is agreed that neither the CONTRACTOR nor anyone acting for the CONTRACTOR shall at any time impose any obligation, debt or burden of any kind or nature in the name of or charged to Augusta-Richmond County or any department or division thereof. 3. It is agreed that for the purpose of this agreement CONTRACTOR shall be deemed to be an independent contractor and shall be responsible for the payment of all employees' salaries, and for all other expenses incurred in connection with the performance of the duties and responsibilities established hereunder, except as otherwise provided. 4. CONTRACTOR covenants that CONTRACTOR presently has no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance required under this agreement. CONTRACTOR further covenants that in the performance of this agreement, no person having any such interest shall be employed or contracted with. B. OBLIGATIONS OF AUGUSTA-RICHMOND COUNTY 1. AUGUSTA-RICHMOND COUNTY shall pay CONTRACTOR a fee of fifteen thousand dollars ($15,000). Payment shall be made by AUGUSTA-RICHMOND COUNTY on a monthly basis upon submission by the CONTRACTOR of original invoices and approval of the invoices by the Historic Preservation Division (HPD) of the Georgia Department of Natural Resources. Invoices by the CONTRACTOR shall include a progress report showing percent of work complete and shall include copies of completed work where applicable. Payment requests shall not exceed the percentage of work complete. The amount of the final payment shall be held by AUGUSTA-RICHMOND COUNTY until the project is completed satisfactorily, including final approval from HPD. 2. AUGUSTA-RICHMOND COUNTY, Historic Augusta, Inc., and the Augusta-Richmond County Planning Commission will also furnish, without charge to the CONTRACTOR, information and support services as outlined in the Proposed Work Plan (See Exhibit A). C. MUTUAL AGREEMENTS 1. The term of this AGREEMENT is from the day and year below written through May 31, 1997 unless terminated earlier pursuant to the provisions of paragraph C.2. 2. This AGREEMENT may be terminated by either party by written notice of such intent submitted thirty (30) days in advance. In the event of termination by either party, CONTRACTOR agrees to cease all work, to turn aver to AUGUSTA-RICHMOND COUNTY all materials acquired for this contract work, and to submit to AUGUST A-RICHMOND COUNTY an invoice for work performed prior to termination. 3. This AGREEMENT is subject to all applicable regulations, laws, policies, guidelines and requirements of the Historic Preservation Fund Grant program, including OMB A-102, FMC 74-4 and 74-8, National Register Programs Manual and any special conditions or regulations relating to the application, acceptance and use of federal funds for a federally assisted project. All work shall meet the Secretary of the Interior's Standards for Archaeology and Historic Preservation. 4. No part of the funds provided under the terms of the AGREEMENT shall be used directly or indirectly to pay for any personal service, advertisement, telegram, telephone, letter, printed or written matter, or other device, intended or designed to influence in any manner a member of Congress, to favor or oppose, by vote or otherwise, any legislation or appropriation by Congress, whether before or after the introduction of any bill or resolution proposing such legislation or appropriation. 5. All data assembled and documents prepared to carry out Exhibit A or as provided by AUGUST A-RICHMOND COUNTY shall become the property of the Georgia Department of Natural Resources. All publications, reproductions, and copyright privileges shall be the property of the Georgia Department of Natural Resources. 6. Any publications, announcements, news releases, exhibits or presentation related to the project shall acknowledge federal assistance substantially as follows: "This publication has been financed in part with federal funds from the National Park Service, US Department of the Interior, through the Historic Preservation Division of the Georgia Department of Natural Resources. However, the contents and opinions do not necessarily reflect the views or policies of the Department of the Interior, nor does the mention of trade names, commercial products, or consultants constitute endorsement or recommendation by these agencies. this program received Federal financial assistance for identification and protection of historic properties. Under Title VI of the Civil Rights Act of 1964, Section 504 of the Rehabilitation Act of 1973, and the Age Discrimination Act of 1975, as amended, the US Department of the Interior prohibits discrimination on the basis of race, color, national origin, age, gender, or disability in its federally-assisted programs. This AGREEMENT is at all time subject to applicable State and Federal laws, standards, rules and regulations now existing or which may be hereafter enacted or adopted. 8. This AGREEMENT and all rights, privileges and responsibilities shall be interpreted and construed according to the laws of the State of Georgia. 9. Claims, disputes or other matters in question between the parties to this agreement arising out of or relating to this agreement or breach thereof shall be subject to and decided in the Superior Court of Richmond County. 10. The failure of AUGUST A-RICHMOND COUNTY at any time to require performance by the CONTRACTOR of any provision hereof, shall in no way affect the right of AUGUSTA-RICHMOND COUNTY thereafter to enforce that same provision or any part of the contract, nor shall the failure of AUGUSTA-RICHMOND COUNTY to enforce any breach of any provision hereof be taken or held to be a waiver of such provision, or as a waiver, modification or cancellation of the contract itself. 11. This agreement represents the sole and complete understanding of the terms of this agreement between the parties hereto and may be amended, changed or modified only by a written document signed by the parties hereto. 12. Failure by the CONTRACTOR to satisfactorily complete work by the deadlines as described in the Proposed Work Plan (Exhibit A) will result in a daily penalty of $1 00 per day until the project is completed satisfactorily and approved by HPD. 13. This agreement is executed in two counterparts, each of which is deemed an original of equal dignity with the other and which is deemed one and the same instrument as the other. PROPOSED WORK PLAN TASK I: BACKGROUND REVIEW A. Meet with the Augusta-Richmond County Planning Commission staff, the Augusta Historic Commission members and the staff of Historic Augusta Inc. as appropriate to discuss work pla~ induding role of Historic Augusta and Augusta-Richmond County Planning Commission staff in field survey work to identify building character elements of study area and the participation of Advisory Committee in development of the guidelines. (First Visit) B*. Gather and review all pertinent planning studies and maps induding comprehensive plan, zoning ordinance, existing historic district regulations, existing design guidelines, public improvement plans, appropriate maps, previous research, etc. (our office currently has most of this information) C.*Gather and review historical information about the study area to include: existing surveys, written histories, historical photograph collections, historical brochures, pamphlets, maps, and National Register nominations as needed. D. Conduct detailed tour of study area to become familiar with area and to complete necessary photography. E. Present work plan ,and schedule to Advisory Committee for their review and comment. Take tour of district with committee to identify cz:itical issues to be addressed in guidelines manual. (First Visit) TASK II: DESIGN GUIDELINES ANALYSIS A. *Create a base map of historic district identifying contributing and noncontributing buildings. B. Develop a list of physical characteristics of buildings to analyze in the study area. This list could include building materials; height; setback; spacing; massing; orientation; roof forms and pitches; roof materials; architectural style; window and door types, patterns, and proportions; porches and projections; architectural ornamentation; colors; textures; landscaping; outbuildings; fences and walls; walkways; and signs, etc. (First Visit) Note: Our office has extensive experience in analyzing district character through individual building element surveys and has created special forms to FRAZIER ASSOCIATES :8 record this information more efficiently than using maps. We would provide such a form to be used by local surveyors for this project. C. Develop list of potential rehabilitation problems to include building condition, level of alterations, and typical rehabilitation issues such as installation of non-historic materials, loss of architectural details, inappropriate remodelings, etc. (First Visit) D. *Tour study area and note building character information and building rehabilitation problems as needed. Also note information on distinctive institutional buildings such as schools, churches, etc. E. Review records as appropriate of past decisions of the historic preservation commission to dete:cmi:..ie significant local is~ues and types of problems incurred. (First Visit) . F. Review requirements of various zoning categories within the study area and the positive or negative impact they have on the preservation of the existing buildings and overall character of the area. (First Visit) G.*Meet with Public Works Department staff to discuss streetscape/public improvements selection procedures and standards within the study area for elements such as light fixtures, street furniture, paving surfaces, street trees, etc. H.*Compile the above information on maps and in written form of guidelines analysis of study area. Present to Advisory Committee (Second Visit) TASK III: DEVELOP DESIGN GUIDELINES A.*Create Illustrated ~tudy Area Design Guidelines to include: 1. Introduction and general historic: overview 2. General architectural/physical description of historic district with sub- areas and specific examples of existing architectural styles with graphics. 3. New construction guidelines and guidelines for additions with illustrations; focus on infill residential construction. 4. Rehabilitation guidelines with photographs and sketches for existing buildings that will be based on an elaboration of the Secretary of Interior's Standards for Rehabilitation Projects 5. Guidelines for facades, signs and awnings in commercial areas as required; FRAZIER ASSOCIATES 9 6. Guidelines for private site improvements with emphasis .landscaping and parking lot/vacant lot screening; 7. Guidelines for public improvements, as needed including streetlights, curbing, paving, sidewalks, any other street furniture, landscaping, etc. TASK IV: SUBMIT DESIGN GUIDELINES DRAFT A.* Submit the draft guidelines to Advisory Committee, Historic Augusta staff and Augusta-Richmond County Planning Commission staff for review and comment. B. Site visit to meet with above groups to discuss draft guidelines and receive suggestions and comments. (Third Visit) TASK V: SUBMIT FINAL GUIDELINES MANUAL A. Revise final draft of guidelines as needed B. Submit a final guidelines with all maps, photographs, graphics and instructions for printer. .' C. Provide guidance on securing low cost printing options of using a newspaper company to print larger quantities of manual on 8 and 1/2" x 11" "insert" format with paper stock of higher quality than newsprint. *INDICA TES STAFF ASSISTANCE FROM HISTORIC AUGUSTA, INC: AND AUGUSTA-RICHMOND COUNTY PLANNING COMMISSION ON TASK STAFFING PLAN William Frazier, AICP who meets the 36 CFR 61 qualifications of the U. S. Department of the Interior, will be principal-in-charge of this project and will assist in reviewing and editing all sections of the guidelines. He also will make any public presentations and participate in all Advisory Committee meetings during the project. Sara Hollberg, AICP will' prepare the guidelines information and create the format for layout of the publication using the desktop editing software of the computer. Carter Green, AlA will design and oversee the production of any CAD graphics for this project. FRAZIER ASSOCIATES 10 Sharon Carr will create graphics on the CAD system. Frazier Associates uses Apple Macintosh Power PC computers, Apple scanners, laser printers, ink jet plotters, Graphisoft's Archicad, Photoshop, Aldus Pagemaker desktop publishing software and Microsoft Word word processing software on which this publication will be produced. Produce Final Guidelines PROPOSED FEES Frazier Associates will complete the Bethlehem Design Guidelines Manual for Augusta-Richmond County, Georgia as outlined in this proposal for a lump sum fee of $15,000 including expenses.
