EMPLOYMENT AGREEMENT
In consideration of legal services to be rendered by Bell & Brigham and Stephen E.
Shepard, P.C., hereinafter referred to as the ATTORNEYS, Augusta, Georgia, a political
subdivision of the State of Georgia, hereinafter referred to as the CLIENT, agrees to employ said
ATTORNEYS to take any action necessary to investigate and litigate claims arising out of
environmental contamination of the following properties owned by CLIENT: (a) the property
located on Reynolds Street between Fifth and Sixth Streets; (b) the property located at 302 Prep
Phillips Drive; and (c) the Peach Orchard Road Well Field.
In compensation for said services, the CLIENT agrees to pay the ATTORNEYS as
attorney's fees thirty three and one third (33 1/3%) percent of all money and/or property recovered
by settlement and/or judgment plus expenses. Stephen E. Shepard and his firm will not be
entitled to other compensation for services rendered regarding the claims covered by this contract.
It is understood and agreed that this employment is undertaken on a contingent basis and if
no recovery is obtained the CLIENT will not owe ATTORNEYS anything for attorney's fees or
expenses incurred in the course of this employment.
The ATTORNEYS are authorized to deduct from the proceeds of any recovery the amount
of any expenses incurred in the handling of this lawsuit.
It is understood and agreed that the ATTORNEYS shall be authorized to terminate
employment under this contract and to withdraw as attorneys of record from any pending litigation
upon written notice to the CLIENT in the event the ATTORNEYS should determine that further
prosecution of the case is unwarranted.
IN WITNESS WHEREOF, the parties have caused this Agreement to be executed by and
through their authorized officers on this the 8th day of November, 2007.
