Tyler Land Acquisition Supervisor Augusta Utilities Administration 360 Bay Street, Suite 180 Augusta, GA 30901 RE: Gordon Highway Easement GA- 245 - 1036972 Dear Ms. Tyler: This has reference to Augusta- Richmond County, Georgia's ( "Grantee ") need to secure a non - exclusive easement (the "Easement ") for the construction and location of a 24' potable water main along Gordon Highway in Augusta, Richmond County, Georgia. This is to advise that we are willing to recommend to CSX Transportation, Inc. ( "Grantor ") Management conveying a non - exclusive permanent easement over 6,842 square feet along with a temporary easement over 3,318 square feet, as shown on the attached Exhibit A, to Augusta- Richmond County for a consideration of $1,126.00. Conveyance shall be by deed of easement prepared by Grantor, at its expense, subject to the following terms, conditions, exceptions and reservations: 1. Grantee, its successors and assigns, shall provide and forever maintain, at Grantee's sole cost and expense, adequate drainage facilities to prevent runoff and other surface waters collected on the Easement from flowing upon or over Grantor's tracks and adjacent properties 2. Grantee, its successors and assigns, shall not at any time impair or interfere with the lateral or subjacent support of Grantor's properties, structures, tracks or improvements on or adjacent to the Easement, or otherwise damage the same in any way. 3. Excluded from this grant are any and all rights of way for access, ingress or egress, whether by way of necessity, implication or otherwise, across, under or over adjoining properties of Grantor. 4. If, at any time, the Easement herein granted, or any part thereof, shall no longer be used or required by Grantee, its successors or assigns, for the purposes for which granted, the same shall terminate, and Grantee, its successors or assigns, shall execute such instrument as now provided or as hereafter may be provided by law to clear title to the aforesaid property. Under the circumstances, we are willing to forego our standard Purchase Sale Agreement with the appropriate signature accepting this letter as confirmation of the conveyance and the terms outlined above. Therefore, please arrange to have duplicate copies of this letter executed by the Augusta - Richmond County in the space S:1PIN\GA131GA245 Richmond1245- 00181GA- 245- 10369721Letter Agreement.doc 7 Ms. Sandra K. Upon receipt., we will present to CSXT Management for formal approval and thereafter, will promptly forward a draft of deed for your legal review prior to conveyance.
