PRE1I,.tlSES LEA...'ED AND TERM. Lessor does hereby rent and lease to the Lessee
office space located at 1365 Laney Walker '5oulevard, first floor of Er.nr. Towers
Apartments, Augusta, Ric..lunond County, Georgia ("premises"), for a term
commencing on the _ day of' 2000.
RENTAL. On or before .2000 Lessee shall pay Lessor the sum
or $1.00 representing the advance payment of all rent due under' this agreement for
the first lease term. - .

USE OF P~EMISES. The Premises shall be used as office space, a place to receive
telephone requests and ~s a distribution point for literature and information
concerning t.l-te activities of the Expanded Food and Nutrition Program and for no
other purpose. The Premises shall not be used for any illegal p\h!,oses, nor in
violation of any valid regulation of any governmental body.
I,.lABTl.ITY FOR DAMAGES. Lessee hereby releases LeSsor from any and all
damages to personal property suffered upon the premises and Lessee shall be solely
liable for all' damages of any kind sustained by Lessee, its agents" servants,
employees, invitees and licensees arising on the leased premises or as a result of the
Lessee's use thereof. .

REPAIRS MID MAf!'mNANCE. Les.see accepts. the. Premises in their present
condition. Lessor shall not be required to make any additional repain or
improvements to the" Premises whatsoever. with the. Premises being otherwise

maintenance of the Premises. Without limiting Lessee's obligation to make all
necessary repairs to the Premises, Lessor shall make all structur~ fepaita necessary

side~lks, heating, water, sewer, electrical and sprinkler syste!I".s, and fixtures

6. EFFECT OF TERMINATION OF LEASE. No termination of this lease prior to the
normal ending thereof by lapse of time or by prior notice as provided above shall
affect Lessor's right to collect rent.

7. ASSIGNMhNT OR SUBLETTING. Lessee may not assign this lease or any interest
thereunder or sub-let the Premises or any. part thereof, or permit, t,l\e use of tr.:"'e
Premises by any other entity. . ' '
B. I;?ESTRUCTION' OF OR DA.'MAGE TO PREMISES. If the Premises are totally
destroyed, (01 60 substantially damages as to be untenantable) by storm, fire,
earthquake, or other casUalty, thiS lease shall tenninate as of the' date of such.
destruction or damage, and rental shall be accounted for as between Lessor and
Lessee as of that date. If the- Premises are damaged but not rendered wholly
untenantable by. any such casualty rental shall aba~ in proportion as the Premises
have been damage and Lessor shall restore as speedily as practicable, \"hereupon full
rent shall recommence." . ' '
9. ~10VAL OF FIXTURE~, Lessee may, prior to the expiration of this lease or any
renewal thereof, remove all portable fixtures and equipment which Lessee has
placed in the Premises, provided Lessee restores the Premises to their condition at
the installation thereof as improved Under the provisions of paragraph 3 above.
10. UTll.lTY BILLS. Lessor shall pay all bills for gas, electricity, fuel, light, heat, or power
for the Premises.
11. Ri:TATTONSHTP OF PARTIES; The names intend and declare that the relationsrJp
between them created by "this agree~ent shall be that cif independently" contracting
. parties. The F~es are notjolnf venturers or partners. Nothing contained herein
shall be interpreted' as creating an agency relationship .between the parties or shall
constitute any waiver o.f any immunity or other defense available to munidpalities
under Georgia law. . . ' , ' .
12. INSURANCE. Lessee shall insure the contents of the Premises at its own expense.
Lessee shall also maintain at its expense a generalltabllity insurance policy,insuring
both Les&or" and LEssee issued by' a company a~ptable to Lessor providing
protection against not less than an aggregate $1,000,000.00 in liability for bodily
injury and property damage. .

13. . R'ENEWAL. The term of this agreement ahall be automatically "renewed for one (1)
year periods rUMing from " to" upon the_
expiration of the initial term or any renewal term, as the case may ce-unless-one---
party 8hall give to the other party at least sixty (60) days prior to the expiration of the
initial term or any renewal term, written notice that the party giving such notic:e
elects not to renew this agreement for an additional term. The term of this
agreement may be renewed in this manner for up to but not' exceeding ten (10) such
one (1) year renewal periods.. -'
14. ENTIRE AGREEMENT. This Lease contains the entire agreement of the paxties and
no representations, inducements, promises or agreements, oral or otherwise,
between the parties not embodied herein shall be of any force of effect. No failure of
Lessor to exercise any power given Lessor hereunder, or to insist upon strict
compliance by Lessee of any obligation hereunder,-.and no cuStom'or pra(.'tice of the
parties at variance with the terms hereof shall constitute a waiver of Lessor's right
to demand exact compliance with the terms hereof.
15. EXTERIOR SIGNS. Lessee may not place or paint any signs upon the walls or roof of
the Premises without the prior written consent of Lessor.
16. ~O EST ATE IN LAND. This contract shall create the relationship' of landlord and
tenant between Lessor and Lessee and no estate shall pass out of Lessor and shall be
deemed a usufruct.
17. RIGHTS CUMULATIVE. All rights, powers and privileges conferred hereunder
upon parties hereto shall be cumulative but not restrictive to those given by law.
18. HOLDING OVER. If Lessee remains in possession after expixation of the tern
hereof, with Lessor's, acquiescence and without any distinct agreement of pa!tie~
Lessee shall be a tenant at will and there shall be no renewal of this lease ~
operation of law.

19. SURRENDER OF PREMISES. At the termination of this lease, Lessee shall
surrender Ptemises and keys thereof to Lessor in t..h.e same condition as at
commencement of the_term,.na~al wear and tear excepted.
20. NOTICES. All notices required under this lease shall be deemed given three days
after the same shall be mailed certified, rehJ!n receipt required to the other party ~t
