MUTUAL RELEASE AND AGREEMENT
Augusta, Georgia, the Augusta-Richmond County Commission and Clayton Group
Services, Inc. enter into this Mutual Release and Agreement ("Agreement").
That CLAYTON GROUP SERVICES, INC.(hereinafter "CLAYTON"), for the
consideration of Balance due to Clayton as a final payment in the amount of Seventy-
seven Thousand, Six Hundred, Seventy-eight Dollars, and Sixty-six cents ($77,678.66),
(see Exhibit A which is attached hereto and incorporated herein) releases, and forever
discharges, and for its successors and assigns, release and forever discharge AUGUSTA,
GEORGIA and the AUGUSTA-RlCHM:OND COUNTY COMMISSION, their
successors and assigns, heirs, executors, administrators, agents, and employees
(hereinafter collectively "AUGUSTA"), of and from any and all claims, demands, rights,
and causes of actions of whatsoever kind and nature arising from, and by reason of any
and all known and unknown, resulting from the contract between CLAYTON and
AUGUST A for the removal of underground storage tanks, preparation of closure report
and limited impacted soil removal, dated August 18,1998, as amended by Change Order
No.1 dated November 17,1998 and Change Order No.2 dated November 22,1999, or for
work performed thereunder (the "Project"), for which Clayton claims additional sums.
are due, and for which liability is hereby expressly denied by Augusta.
That Augusta agrees, so long as Clayton accepts the consideration set forth above
as full settlement of fees and costs owed by Augusta for the Project, to release and
forever discharge and for its successors and assigns, release and forever discharge
Clayton from any and all claims, demands, rights and causes of action of whatsoever kind
and nature arising from and by all reason of any or all known or unknown resulting from
the Project.
In further consideration, Clayton promises to bind itself and indemnify and hold
hannless and release Augusta herein for any sum of money that Augusta would be
compelled to pay to Clayton or any other party for payment of services or labor
associated or connected to the Project.
The Parties further warrant that this Agreement is executed by its duly authorized
officers.

It is expressly acknowledged by the undersigned that this release does not
constitute a waiver of sovereign official immunity by Augusta.
