AGREEMENT

TillS AGREEMENT, made and entered into as of the ~ day of ~Vsr1~.!':'-z.. ,
1999, by and between AUGUSTA, GEORGIA, a political subdivision of the State of Georgia,
acting through the Augusta-Richmond County Commission and hereinafter referred to as
"AUGUSTA," and the CITY OF HEPHZIBAH, a municipal corporation organized and existing
under the laws of the State of Georgia, acting by and through its City Commission and
hereinafter referred to as "HEPHZffiAH."
WITNESSETH:
WHEREAS, HEPHZIBAH desires to acquire the Henderson Road water line, and
AUGUST A desires to transfer the twelve inch water line and appurtenances along Henderson
Road, all under certain specified terms and conditions; and
WHEREAS, a 12 inch water line along Henderson Road was constructed in 1995 by the
Richmond County Water and Sewage Department; and
WHEREAS, HEPHZIBAH has constructed a water line which connects with the
Henderson Road water line, and acquiring the twelve inch Henderson Road Water line from
AUGUST A would significantly increase the volume of water to AUGUSTA and HEPHZIBAH
citizens being serviced; and
WHEREAS, the Henderson Road water line is located such that it is more integral to
HEPHZIBAH's water system than to the AUGUSTA system; and
WHEREAS, the parties desire to set forth the terms and conditions under which transfer
shall be made; and
WHEREAS, as a result of the water purchased by AUGUSTA this year along with the
Materials used in the construction of the new eight inch line constructed to service the Blythe
Recreation Center located on Highway 88, and the materials used in the tie-in points, and a
miscellaneous materials allowance of$I,774.95, AUGUSTA has an outstanding debt to
HEPHZIBAH is an amount of$37,458.56;

NOW THEREFORE, in consideration of the promises and mutual agreements hereinafter
set forth, it is agreed that:
1. AUGUSTA's outstanding debt to HEPHZIBAH, in the amount of$37,458.56, will be
deducted from the purchase price of$137,458.56. The balance of$lOO,OOO, due from
HEPHZIBAH for said line, will be satisfied by HEPHZffiAH's crediting future water bills
incurred by AUGUSTA against that amount. The length of time to meet this amount will not be
considered a factor.
2. AUGUSTA will execute all documents necessary for the transfer of title of the
Henderson Road water line to HEPHZIBAH.
3. HEPHZIBAH will assume responsibility for the billing and collection of the meters on
Henderson Road, and for maintenance and repairs on the water line, and all other duties and
liabilities associated with ownership.
4. HEPHZIBAH will continue to supply water to the Hephzibah/Richmond County
Recreation Facility (Jesse Carroll Center) without charge to AUGUSTA.
5. HEPHZIBAH will meter the water supplying the Blythe recreation center and bill
AUGUST A accordingly.
6. HEPHZffiAH agrees to charge AUGUSTA the rate of$.90 per 1000 gallons of water
purchased to be credited against the purchase price pursuant to this Agreement. HEPHZIBAH
will bill AUGUSTA and provide an accounting of the water purchased by AUGUSTA.
7. This Agreement shall be executed in duplicate so that both AUGUSTA and
HEPHZIBAH will each have an original executed Agreement, either of which may be
considered the original.
8. This Agreement shall be controlled by and construed in accordance with the laws of
the State of Georgia.
9. This Agreement is the entire agreement between the parties, and may not be amended
except by a writing executed by both parties.

IN WITNESS WHEREOF, AUGUSTA and HEPHZIBAH have caused the execution of
this Agreement by and through their respective duly elected officers, with their respective seals
being affixed hereto, as of the day and year first above written.
