Dear Chiquita:
The purpose of this letter is to set forth the compensation for employment with Augusta as the General
Counsel. The following parameters have been agreed upon.
COMPENSATION: The annual rate of compensation will be $125,000.00 per year, payable in
installments at the same times as other employees of Augusta. Compensation shall be reviewed
annually and increases for cost-of-living adjustments provided consistent with other Augusta
employees. Merit increases, if any, shall be based upon performance and commensurate with
those given other management employees, subject to the financial condition of Augusta. Your
employment / salary shall be effective February 19, 2008. You are an at-will employee during
the term of your employment.
MOVING EXPENSES: Employee shall be paid for expenses relating to packing and moving from
Atlanta, GA to Augusta, GA payable in a lump sum payment of $4Q00.00.
CAR ALLOWANCE: The Employee will receive an annual car allowance of $7200.00 paid in
equal installments with her regular paycheck.
DEFERRED COMPENSATION: The Employee will receive a yearly sum equal to 5% of her
annualsahlry paid into a deferred compensation account established by Augusta..
PROFESSIONAL DEVELOPMENT: August.:"l shall budget and pay for reasonable travel and
subsistence expenses of the Employee for professional and official travel, meetings and
occasions necessary to continue the professional development of the employee. The budget is
subject to advance approval by the Commission.
DUES AND SUBSCRIPTION: Augusta agrees to budget and to pay for the professional dues
and subscriptions of the employee necessary for her continuation and participation in national,
regional, state and local associations and organizations necessary and desirable for her
continued professional participation, growth and a,dvancement, and for the good of the
Employer. The budget is subject to advance approval by the Administrator.
OTHER BENEFITS: Employee shall be provided all other benefits (health, dental, life, and
pension) afforded to employees of Augusta with at least five (5) years of service, which includes
the accrual of 1.5 days of vacation per month.

Severance Pay: In the event Employee is terminated by the Commission and during such time
that Employee is willing and able to perform her duties as General Counsel, then in that event
Employer agrees to pay Employee severance pay equal to six (6) months and benefits. Employee
shall also be compensated for all earned vacation, holidays and other accrued benefits to date
other than sick leave. In the event Employee is terminated for cause or for conviction, then, in
that event, Employer shall have no obligation to pay the aggregate severance sum designated in
this paragraph or any accrued benefits.
