HomeMy WebLinkAboutBILL OF SALE GEORGIA DEPARTMENT OF ECONOMIC GEORGIA GOLF HALL OF FAME AUTHORITY AND GEORGIA GOLF HALL OF FAME COMMISSION • BILL OF SALE This Bill of Sale (this "Agreement ") is made and entered into this 3 day of 2010, by and between GEORGIA DEPARTMENT OF ECONOMIC DEV OPMENT a Department within the Executive Branch of the State of Georgia ( "DEcD ") on behalf of the GEORGIA GOLF HALL OF FAME AUTHORITY and GEORGIA GOLF HALL OF FAME COMMISSION and AUGUSTA, GEORGIA, a consolidated government in the State of Georgia ( "Augusta "). WITNESSETH: WHEREAS, Senate Bill 449 repealed Part 13 of Article 7, Chapter 3 of Title 12 of the Official Code of Georgia Annotated abolishing the Georgia Golf Hall of Fame Authority and transferring all of its assets, excluding real property and statues, to the DEcD; and WHEREAS, Senate Bill 449 repealed Part 2 of Article 4 of Chapter 12 of Title 50 of the Official Code of Georgia Annotated abolishing the Georgia Golf Hall of Fame Commission and transferring all of its assets, excluding real property and statues, to the DEcD; and WHEREAS, Senate Bill 449, however, further directed that "the statues owned or controlled by the Georgia Golf Hall of Fame ... be transferred by the department no later than January 1, 2011 to Augusta, Georgia for public use by the Augusta - Richmond County Commission," and WHEREAS, the statues are now in possession of Augusta Museum of History. NOW, THEREFORE, in consideration of the mutual public good and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, DEcD, as the successor agency to the Georgia Golf Hall of Fame Authority and the Georgia Golf Hall of Fame Commission, and Augusta agree as follows: 1. Bill of Sale: DEcD hereby sells, assigns, transfers and conveys to Augusta all of right, title and interest that the DEcD, Golf Hall of Fame Authority and Golf Hall of Fame Commission may have in the Bronze Sculptures listed on Exhibit "A," attached hereto and incorporated by this reference ( "Sculptures "). Pursuant to O.C.G.A. § 50- 17 -18, DEcD has full right, power and authority to transfer the Sculptures and to make this Bill of Sale. DEcD represents to the Augusta that DEcD has not conveyed to any third party its right, title and interest, or the rights, title and interest of the Golf Hall of Fame Authority and Golf Hall of Fame Commission, if any, in the Sculptures. 2. Counterparts. This Agreement may be executed in two or more counterparts, and it shall not be necessary that any one of the counterparts be executed by all of the parties hereto. Each fully or partially executed counterpart shall be deemed an original, but all of such counterparts taken together shall constitute one and the same instrument. 3. Successors and Assigns. This Agreement shall inure to the benefit of, and be binding upon, the successors, executors, administrators, legal representatives and assigns of the parties hereto.
