, FIRST AMENDMENT TO CO-LOCATION OPTION
AND LEASE AGREEMENT
This FIRST AMENDMENT TO CO-LOCATION OPTION AND LEASE
AGREEMENT is made and entered into effective 1)€(.~"""~4JL \ , 1991, by and
between AUGUST A, GEORGIA, a political subdivision of the State of Georgia ("AUGUST A")
and BELLSOUTH PERSONAL COMMUNICATIONS, INC. d/b/a BELLSOUTH MOBILITY
DCS ("BELLSOUTH"').
WHEREAS, the parties hereto entered into that certain Co-Location Option and Lease
Agreement dated July 2, 1997 (the "Agreement"); and,
WHEREAS, said Agreement provided BELLSOUTH with a certain period of time in
which to exercise an option for location at the site referenced in the Agreement; and
WHEREAS, the parties wish to extend that option period.
NOW, THEREFORE, for and in consideration for the mutual promises and covenants
herein, and for other good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledge, the parties hereto, intending to be legally bound, do hereby agree as
follows:
1. In consideration of the sum of Two Thousand and nollOO Dollars (2,000.00), the
Option Period is hereby extended from January 10, 1998 to February 15, 1998.
2. As further consideration, that certain Temporary Telecommunications Facility
License between the parties dated September 29, 1997, and for space on a parcel located on
Tobacco Road, is hereby declared null and void.
3. All remaining terms, conditions and provisions of the Agreement remain in full
force and effect.
WHEREFORE; the parties have set their hands and seals as of the date first above
written.

This FIRST AMENDMENT TO CO-LOCATION OPTION AND LEASE
