AGREEMENT BETWEEN
AUGUSTA-RICHMOND COUNTY HOUSING AND NEIGHBORHOOD DEVELOPMENT
DEPARTMENT AND THE AUGUSTA TASK FORCE FOR THE HOMELESS
THIS AGREEMENT is entered into this ~ day of M~rch .
1997, by and between Augusta-Richmond County, Georgia (hereinafter
referred to as the "Local Government") and the Augusta Task Force
for the Homeless, (hereinafter referred to as the "Subrecipient").
WHEREAS, the Local Government has entered into an agreement
wi th the State of Georgia Department of Community Affairs to
receive a Local Assistance Grant in the amount of $15,000. These
funds will be passed through the Local Government to the
Subrecipient.
WHEREAS, the Local Government is interested in the promotion
of the health and welfare of its inhabitants; and
WHEREAS, cooperative efforts of the Local Government and the
Subrecipient are beneficial to the citizens of Augusta-Richmond
County; and
WHEREAS, certain funds were appropriated by the Georgia
General Assembly for the purposes set forth herein; and
WHEREAS, Subrecipient warrants that it has the authority to
expend monies for the purposes set forth herein:
NOW THEREFORE, in consideration of the covenants and
agreements contained herein, the parties hereto agree and covenant
as follows:
1. Scope of Proiect. Local Government agrees to grant, and
the Subrecipient accepts, the sum of $15,000 to be used by the
Subrecipient for the purposes as specified in Attachment A, which
is incorporated by reference and made a part of this Agreement.
2. Accountabilitv. The Subrecipient agrees to expend the
funds specified herein for the purposes stated, and to account for
the funds in accordance with generally accepted accounting
principles. Any funds not expended for purposes provided for in
this Agreement shall be returned to the Local Government.
3. Payment Schedule. Subject to the availability of funds
for such programs, the Local Government agrees to pay the
Subrecipient upon receipt of proper documentation in accordance
with the provisions of this Agreement, not to exceed $15,000.
4. Hold Harmless Obliqations. (a). The Subrecipient shall
hold the Local Government, its agents and employees, harmless from
and shall defend it against any and all claims resulting from or
arising out of the grant, including, without limitation, damage
claims for injury to persons or property. (b). The Subrecipient
has submitted an application for the funds herein, and expressly
acknowledges that the Local Government, its agents and employees,
in passing through such funds, has neither assumed nor undertaken
any legal duties to the Subrecipient or others. The Subrecipient
agrees to make no claims or demands against the Local Government,
its agents or employees, for any damages that may result from or
arise out of the disbursement of the funds hereunder, even if such
claims or demands are made against the Subrecipient.
5. Conflict of Interest. The Subrecipient agrees to abide
by the provisions of 24 CFR Part 570.611 with respect to conflicts
of interest, and covenants that it presently has no financial
interest and shall not acquire any financial interest, direct or
indirect, which would conflict in any manner or degree with the
performance of services required under this agreement. The
Subrecipient further covenants that in the performance of this
agreement no person having such a financial interest shall be
employed or retained by the Subrecipient hereunder. These conflict
of interest provisions apply to any person who is an employee,
agent, consultant, officer, or elected official or appointed
official of the Local Government.
6. Monitorinq and Audits. Upon request, the Subrecipient
agrees to provide the Local Government with any information the
Local Government deems necessary to monitor performance of this
agreement, and further agrees to give the Local Government or the
State Department of Audits the right to audit all records related
to this agreement.
7. Open Meetinqs. The Subrecipient receives more than 33
1/3% of its funds from taxpayer sources and therefore it is subject
to the Georgia Open Meeting Law. Accordingly, the Subrecipient
will take the following compliance measures: It will notify the
Augusta -Chronicle of its regular board meetings; it will post
notices of its meetings in a public place at the meeting site and
it will keep a written agenda, minutes, attendance, and voting
record for each meeting and make the same available for inspection
by the press, the public, and the Local Government. The press, the
public, and the Local Government shall not be denied admittance to
the Subrecipient's board meetings.
IN WITNESS WHEREOF, the parties have executed this agreement as of
the date first stated above.

The Local Assistance Grant shall be used by Augusta-Richmond County for the operation of the
Augusta Task Force for the Homeless as outlined in the application for Local Assistance Grant
funds.
