This Agreement is made and entered into this Iq~ M tA.,/ AGREEMENT day of A, 1997, by and between RICHMOND COUNTY, GEORGIA (hereinafter referred to as the "COUNTY"); and THE LAMAR CORPORATION, a corporation organized and existing pursuant to the laws of the state of' Louisiana (hereinafter referred to as "LAMAR"). WIT N E SSE T H: WHEREAS, on October 12, 1992, the city Council of Augusta, Augusta Public Transit and Shelter Ad Systems entered into a contract regarding bus stop shelters within the City of Augusta (the "SAS Contract"); and WHEREAS, effective January 1, 1996, pursuant to legislation, the City of Augusta and Richmond County, Georgia were consolidated with the governing body of ~ichmond County, Georgia to be the Augusta-Richmond County Commission; and WHEREAS, LAMAR has purchased Shelter Ad Systems, and by execution of an Assignment ?ated ~Lb. l46 , 1997, has assumed the rights, obligations and i\\_:" liabilities of Shelter.Ad Systems under the SAS Contract; and WHEREAS, the term of the SAS Contract expires in October, 1999, and both parties desire to renegotiate the SAS Contract as set forth herein. NOW, THEREFORE, for and in consideration of the mutual covenants and promises set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties, intending to be legally bound, do hereby agree as follows: 1. RIGHT TO ERECT AND MAINTAIN BUS STOP SHELTERS. COUNTY hereby grants to LAMAR the right to erp.ct and maintain bus stop shelters at certain bus stops, together with the right to display advertising material thereon, in accordance with and subject to the terms ,and' conditions of this Agreement. The shelters in existence as of the execution of this Agreement are listed on Exhibit "A"f /- attached hereto and incorporated by reference. The parties heret~ agre~ that so ! '" . .,,-'0.' long as COMPANY is not in violation of any provision....of this Agreement, LAMAR shall have the exclusive. right to. construct and maintain said shelters and benches within Augusta-Richmond County and shall have the exclusive right to ). install said marquee advertising on said shelters. 1 ;- .' 2. CONSTRUCTION OF ADDITIONAL SHELTERS. LAMAR is authorized to construct additional shelters beyond those listed on Exhibit "A." Such additional shelters shall be constructed to be comparable in dimensionsf appearance, materials and quality to the shelter depicted on Exhibit "B" attached hereto and incorporated herein by reference. Said shelters shall also comply in all respects with any state or federal regulations applicable thereto, including without limitation the Americans with Disabilities Act. Shelters with dimensions varying from those stated on Exhibit "Bn may be constructed only with written permission of COUNTY. Each additional shelter constructed pursuant to this section shall contain ~ bench. The parties further agree that in the event LAMAR, for any reason, is unable to provide or install any additional sheiters at specific locations pursuant to the request of COUNTY, COUNTY retains the right to inst~ll the shelters at its costi.provided, however, that LAMAR shall have a period of one hundred twenty (120) days after receipt of a written request from COUNTY to install said shelter(s) or bench(es) before the right of COUNTY to install the shelters becomes effective. 3. LOCATION OF SHELTERS. Regardless of anything contained herein to the contrary, LAMAR shall install and erect shelters only after meeting the following requirements: (a) Shelters may only be located in areas serviced by the Augusta- Richmond County Public Transit System. (b) Shelter' locations must be approved by COUNTY, and must meet the requirements as set forth in MOG 6655-10, per Official Code of Georgia Annot~ted Section 32-6-5l(d). (C) No shelter will be erected at any location which is deemed, in the sole discretion of COUNTY's traffic engineering departmentf to be a hazard to traffic and pedestrian safety and mobility. (d) LAMAR shall, at its sole expense, obtain any and all permits required by the State of Georgia, and shall fully comply with any and all local, state and federal requirements and regulations concerning the construction, installation, maintenance and/or operation of all bus stop shelt~rs and benches 2 . ! . . .' to be maintained and/or erected by LAMAR hereunder. 4. REROUTING OF BUSES. If buses are to be rerouted, LAMAR shall be notified by COUNTY, and LAMAR shall be allowed sixty (60) days in which to relocate the.shelter{s) and/or bench{es) from the abandoned route when requested to do so. s. LIGHTING AT SHELTERS. LAMAR agrees that it shall provide for adequate lighting at each bus stop shelter and/or bench covered under this Agreement; provided, however, that LAMAR shall not be required to provide such lighting if, as agreed upon by LAMAR and COUNTYf utilities necessary to provide such lighting are not easily accessible by LAMAR. In the event LAMAR desires to access an existing streetlight in order to provide said lighting, LAMAR agrees to reimburse COUNTY monthly for LAMAR's pro-rata share of the energy cost for said streetlight. 6. TELEPHONES AT SHELTERS. LAMAR agrees that it shall, at.its own expense, provide a pay telephone at each shelter and/or bench covered under this Agreement, and shall ensure that said telephones are maintained in working order. In the event LAMAR or COUNTY receives notice that any telephone provided at a bus stop shelter or bench pursuant to this Agreement is being used for illicit purposes, and, after investigation, determines that said information is correct, LAMAR shall remove such telephone upon request of the COUNTY, or with permission of the COUNTY if the request for removal is made by LAMAR. 7. OWNERSHIP OF SHELTERS AND BENCHES. LAMAR shall have sole and exclusive ownership of existing and additional bus stop shelters and all benches, except as otherwise provided herein. Said ownership is ~ubject to the right of the general public to use the bus stop shelters and benches at all times. Nothing contained herein shall be deemed to give title to LAMAR of any sidewalk, walkway or curb, or other public way encompassed by any such bus stop shelter. 8. MAINTENANCE. LAMAR shall maintain all existing and additional bus sto~ shelters and benches in good repair and shall be solely responsible for the cleaningf repairing or replacement of any part thereof, including advertising materials. Said shelters shall be cleaned on at least a bi-weekly basis. LAMAR 3 shall inspect said shelters and benches, and provide repair and maintenance therefor, on a regular basis, and shall be responsible for insuring that said benches and shelters at all times remain in complianc.e with any and all applicable local, state and federal regulations. In the event COUNTY or LAMAR is put on notice that any bus stop shelter or bench is a victim of offensive, obscene or political'graffiti or other type of defacement, it shall be incumbent upon LAMAR to remedy such situation and repair such shelter or bench within twenty (20) working days after notice of same. If said maintenance or repair is not made within said twenty (20) day period, COUNTY may undertake such repair or maintenance and assess the costs of the repair or maintenance to LAMAR. LAMAR shall not be responsible for the maintenance or repair of any sidewalk, walkway or curb encompassed by any shelter or bench, unless such sidewalk, walkway or curb shall have been damaged through the acts or omissions of LAMAR, its agents, servants, subcontractors or employees. 9. CHRONIC VANDALISM. In the event that during any six (6) month period, any bus stop shelter or bench shall have been vandalized to the extent that the cumulative expenses of all repairs shall exceed $900.00, LAMAR shall ,have the right to remove said shelter or bench after ten (10) days' notice in writing to COUNTY, and upon submission to COUNTY of invoices or receipts for repair of said shelter. In. the event COUNTY is notified that any bus shelter or bench appears to be the victim of chronic vandalism as herein set forth, and that no steps have been taken to remove said shelter or bench, or to otherwise repair the shelter or .bench so as to bring it back to its condition prior to the vandalism, .COUNTY may, after providing LAMAR with a sixty (60) day written notice advising it of the necessary repairs, either repair the shelter or bench, or remove the shelter or bench and assess the costs for such repair or removal against LAMAR. LAMAR shall restore the sidewalk or other walkway or curb encompassed by said sr.)lter(s)" or bench(es) so removed to a condition equivalent to status quo.ante, all at LAMAR'S own expense. 10. SURETIES, BOND AND INSURANCE. During the terms of this Agreement, LAMAR shall procure, carry and pay for windstorm, fire and extended coverage 4 insurance insuring existing and any additional shelters and/or benches. The proceeds of any such insurance shall be used to repair or. restore damaged shelters or benches as nearly as possible to their original condition. LAMAR shall indemnify and hold harmless COUNTY and any of its agents, employees, elected officials, and officers from and against all claims, damages, losses and expenses arising out of or resulting from any conduct, activity or omission contemplated within this Agreement which is attributable' to LAMAR, including, but not limited to construction and/or maintenance of, and advertisements on, existing and additional shelters and/or benches; provided that any such claim, damage, loss or expense which results in bodily injury, sickness, disease or death, or to injury or destruction of tangible or intangible property, including the loss of the use resulting therefrom, which is caus~d in whole or in part by any negligent act or commission or omission by LAMAR, or its contractor, subcontractor or anyone directly or indirectly employed by any of them, or anyone for whose act any of them might be liable, shall render LAMAR responsible; provided further that LAMAR shall not be responsible for the acts or omissions of COUNTY or its agents. It is recognized by the parties to this Agreement that LAMAR shall procure public liability, product and completed operations liability insurance with limits of liability of not less than $500,000.00 each occurrencef and $500,000.00 aggregate for bodily injury, $100,000,000 each occurrence, and $100,000.00 aggregate property damage. LAMAR shall provide to COUNTY proof of insurance, which insurance shall include no less than thirty (30) days' advance notice' of cancellation or nonrenewal of samef together with a .copy of any additional endorsements~ COUNTY shall be listed as an additional named insured in all policies providing any insurance coverage under this, Section 6 and shall be furnished with copies of such policies and evidence from time to .time during the term of this Agreement that such insurance coverage is in full force and effect. 5 11. CONSIDERATION. For and in consideration of constructing additional shelters and benches, maintaining existing and additional shelters and benches, and soliciting advertisements for said shelters, LAMAR shall have the exclusive right to install marquee advertising on each side of one panel in each shelter and to retain advertising and other gross revenues generated pursuant to this Agreement (including without limitation revenues from telephones installed and/or maintained in the shelters), less eight percent (8%) of said gross revenues, which shall be payable monthly to COUNTY. For purposes of this Agreement, "gross revenues" means gross revenues less agency commissions required to be paid by LAMAR pursuant to LAMAR's agreements with various advertising agencies. As additional consideration, LAMAR agrees to provide, at its sole expense, schedules and a master route map for bus routes within Augusta-Richmond County. Said schedules and master route map shall be substantially similar in style and content to the samples attached as Exhibit "C" hereto and incorporated herein by reference; provided, however, that LAMAR is authorized to include one (1) advertisement within each schedule and on the master route map. COUNTY shall recieve 8% of any profit received by LAMAR by virtue of said advertisements on schedules and the master route map. LAMAR agrees to prov~de said schedules and master route maps at least every six (6) months during the term of this Agreement, and more often.as reasonably requested by COUNTY due to increases in ridership or route changes; provided, however, that in no event shall LAMAR be required to provide such schedules and/or master route maps more than three (3) times in anyone year of the term of this Agreement. The final format and content of said schedules and master route maps shall be approved by COUNTY before final printing. 12. ADVERTISING CONTENT. LAMAR agrees not to accept any advertisements whichf by local community standards, are deemed to be objectionable, vulgar, distasteful, obscene or offensivef false or misleading. L~ spacifically " agrees not .to accept any advertisements which are in any way connected with a 6 political contest, candidate, party or issue, or any advertisements for any alcohol or tobacco products. LAMAR may, to a reasonable extent, include without additional charge on said advertising signs, traffic slogans or other similar language encouraging traffic safety and careful automobile operation. 13. TERM AND' TERMINATION. (a) The term of this Agreement shall be ten (10) years from date of execution by all parties, unless earlier terminated as set forth below. . (b) This Agreement shall automatically terminate in the event that the Augusta-Richmond County Transit System goes out of the transit. business as a result of the termination of federal or local funding. In such case, this Agreement shall terminate as of the date the last bus runs. However, LAMAR shall have one (1) year from the - date of termination to remove or dispose of its shelters and benches. . (c) This Agreement may be terminated by either party due to default of the other, provided that the party electing to terminate shall have notified the defaulting party of the alleged violation and said violation shall not have been rectified .within ninety (90) days thereafter, except for LAMAR's failure to maintain in full force and effect the public liability product and completed operations liabi~ity insurance required to be procured pursuant to Section 6 abovef in which case said failure shall be remedied within ten (10) days after notice from COUNTY of such violation. Where LAMAR is the defaulting party, title to existing and additional benches and shelters shall automatically vest in COUNTY upon such default by LAMAR, subject to any perfected security interest of a financial institution extending credit to LAMAR for the construction of the shelters and benches. LAMAR shall not be held in default of this Agreement as contemplated by this subsection if it is prevented from performing hereunder by conditions entirely beyond its control, such as, but no~ limited tOf acts of God, str~kes, war or other emergencies making performance impossible or illegal. 7 . J ... (d) COUNTY may terminate this Agreement if LAMAR is declared bankrupt, insolvent or if a receiver is appointed, or any proceedings are commenced by or against LAMAR under the Federal Bankruptcy Act. 14. ASSIGNABILITY. LAMAR shall have the right to assign this Agreement only with the prior written consent of COUNTY. 15. ACCESS TO BOOKS AND RECORDS. All books, cards, registers, receipts, documents and any other papers connected with the performance by LAMAR of this Agreement are and shall remain the property of LAMAR, but shall at any and all reasonable times during normal working hours be open and freely exhibited to COUNTY or an officer or duly authorized representative of COUNTY, for the purpose of examination and/or audit. Monthly statements of gross revenues pursuant to this Agreement shall be provided to COUNTY along with monthly payments in . accordance with Section 11 hereof, and said statements shall be certified by LAMAR's comptroller. Within 120 days following the close of LAMAR's fiscal year, LAMAR shall furnish to COUNTY certification by the independent certified public accountant performing LAMAR's audited financial statements that payments made to COUNTY are in accordance with the terms of this Agreement. 16. NOTICES. Any notice required under this Agreement shall be deemed given when delivered by certified mail, return receipt requested to the following addresses: LAMAR: THE LAMAR CORPORATION 5551 CORPORATE BLVD. COUNTY: (a) Governing law. The parties expressly agree that this Agreement i shail be construed and interpreted in accordance with and subject to the laws of the State of Georgia. (b) Conflict of Interest. No member of the governing body of COUNTY and no other public employee or officer of COUNTY who exercises any 8 . '.J functions or responsibilities in the review or approval of the carrying out of the work and services to be perf.ormed under this Agreement shall have any personal interest, direct or indirect, in any corporation, firm or association which has an interest in this Agreement. (c) Equal Employment Opportunity. During the performance of this Agreement, LAMAR agrees as follows: (i) That it will not discriminate against any employee or applicant for employment because of race, color, creed, religion, sex, marital status or national origin. LAMAR will take affirmative action to ensure that applicants are employed, and that employees are treated during employment without regard to their race, color, religion, creed, sex or national origin. Such action shall include, but not be limited to, the following: employment, upgrading demotion or transfer, recruitment or recruitment advertising, lay-off or termination; rates of payor other forms of compensation; and selection for training, including apprenticeship. LAMAR agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by or at the direction of the United States Government, setting forth the provisions of this Equal Opportunity section. (ii) LAMAR will, in all solicitations or advertisements for employees placed by or on behalf of LAMAR, state that all qualified applicants will receive consideration for employmentf without regard to race, color, religion, creed,' sex or national origin. (iii) LAMAR will send to each labor union or representative or workers with which LAMAR has a collective bargaining agreement or other contract or understanding, a notice to be provided by or at the direction of the government, advising the said labor union or workers' representative of LAMAR's commitments under this section, and shall post copies of the notice in conspicuous places av}ilable to employees and applicants for employment. " (iv) LAMAR will comply with all provisions of Executive order Number 11246 of September 24, 1965, and of the rules, regulations and relevant orders of the Secretary of labor. 9 (v) LAMAR will furnish all information and reports required by Executive Order Number 11246 of September 24, 1965, and by the rules, regulations and orders of the Secretary of Labor or pursuant thereto, and will permit access to its books, records and accounts by Hun and the Secretary of Labor for purposes of investigation to ascertain compliance with such rules, regulations and orders. (vi) In the event of LAMAR's noncompliance with the Equal Opportunity section of this Agreement, or with any of the said rules, regulations or orders, this Agreement may be cancelled, terminated or suspended in whole or in partf and LAMAR will be declared ineligible for further cs:mtracts in accordance with procedures authorized in Executive Order Number 11246 of . September 24, 1965 and other such sanctions as may be imposed and remedies invoked as provided in Executive Order Number 11246 of September 24,.1965, or by rules, regulations or orders of the Secretary of Labor, or as otherwise provided .by law. (vii) LAMAR will include the portion of the sentence immediately preceding Paragraph (a) and the provisions of Paragraphs (a) through ( f) in every subcontract or purchase order, unless exempted by the rules, regulations. or orders of the Secretary of Labor issued pursuant to Section 204 of Executive Order Number 11246 of September 24, 1965, so that such provisions will be binding upon each subcontractor or vendor. LAMAR will take such action with respect to'.any subcontract or purchase order as the Government may direct as a means of enforcing such provisions, including sanctions of noncompliance; provided,. however, that in the event a contractor becomes involved in or is threatened with litigation with a subcontractor or vendor as a result of such direction by the Government, the contractor may request the United States to enter into such litigation to protect the interest of the United States. Page - 1 ~ , . " SHELTER SPECIFICATIONS Shelters must be designed to meet the building requirements associated with the Southern Building Code or local building code, whichever is more restrictive. STANDARDS: The shelters must conform to all Feqeral, State and local laws, codes and regulations shall be in accordance with the latest editions of the Standards and Codes listed hereunder. A. Ambient. Temperature Range: -30 to 100 degrees F. B. Relative Humidity Range: 0 to 100 percent - C. The environment shall be considered to be that of the Appalachian Region of South Carolina. It shall be considered to actively support the growth of fungi. and various corrosion reactions on metals. Each bus passenger. shelter shall consist of an aluminum framework suitable for supporting transparent wall panels and opaque roof panels. Each shelter structure shall be suitable for mounting on concrete footings or pad. BUS PASSENGER SHELTER CONSTRUCTION Page - 2 , . Disassembly for reglazing, or to move or relocate a shelter, shall be readily accomplished without damaging the structure. DIMENSIONS: Roof Length: Roof Width: Roof Heights: Vertical Posts: Spacing (out-to-out) at left and right end wall sectioned: 8'-6" 4'-6" (with ad box 62") 8'-0" min. 4'0" The shelter structure must offer the possibility to accommodate different service capacities at different locations by placing shelters contiguous to each other rather than, specifying different shelter sizes. The shelter must have as a 'minimum a rear wall section. If r~quired, glazing can~e provided on rear wall section, sides and front. Each wall sect~on frame members and mullions are to be constructed of aluminum. Glass panels must be tempered and of standard size. SHELTER FRAME AND RELATED METAL COMPONENTS , . (A) GENERAL: The shelter structure must comply with the current edition of the Southern Building Code, standards, including the ability to withstand sustained winds of up to 120 MPH. (B) FRAMEWORK: ,The shelter superstructure must have an aluminum framework with a medium bronze Duracron painted (ESP) finish. If requested, shelters may be supplied with anodized finish. The frame must be supported above the ground by vertical posts at corners. All vertical posts must be provided with an anchoring device at the bot~om of the posts, which allows the shelter frame to be set on sloping pavements. 'The vertical posts must be anchored to the pavement by special shoe mounting anchors of the adequate strength. Vertical posts and mullions must serve as a frame for glazinq. Top and bottom horizontal rails must'be attached to vert~cal posts and mullions by concealed fasteners. i : All main members shall have .100 inch'; minimum wall thickness. All structural frame 'members must be extruded aluminum of 6063-T5 alloy. All exposed surfaces must be smooth, neatly finishe9 and free from burrs, silvers, projections, nicks, dents, scrat,ches or other imperfections. No welds will be apparent in any exposed aluminum. Each member must consist of one or more elements of metal which are continuous from one end of the member to the other without splices or cross-joints. Page - 3 j , . . All structural frame connections must be concealed and no surface or area shall require finishing after assembly and erection of the superstructure. (C) MODULAR SPACING: vertical members of shelter or glazing' framework, other than corner posts, must have a fixed and uniform spacing, center to center, so as to produce a modular dimensional system of framing. Posts and intermediate vertical members must'have a maximum of 5" in width, when viewed from any direction. '(D') STANDARDIZATION OF COMPONENTS: The framework shall be made up from the smallest possible number of standardized components for economy and ease of replacement. All components shall be manufactured in close tolerances, so as to permit interchangeability of parts. The framing members shall be dimensioned to permit similar standardization of glazing and roof panels. (E) FASTENERS AND CONNECTIONS: ~ll fasteners such as pop rivets, drive rivets and Allen-head screws, fitting and other miscellaneous parts must be made form corrosion resistant materials. Dissimilar metal, connections must be provided with di-electric spacers to prevent corrosion due to galvanic actions. Fasteners must be of a type which cannot be loosened with readily available tools. No regular, Phillips, hex- head, or square-head screws or bolts shall be used where exposed in the finished shelter. Fasteners must be flush with the surface connected or have minimal projection. Parts must fit tightly together without open joints or exppsed thin edges. Connection must be designed to provide simplicity of assembly and appearance. (F) WEEPHOLES: Structure shall have weepholes as necessary to assure drainage of condensation. (G) BUS PASSENGER SHELTER STRENGTH The entire assembly, when anchored in place, must sustain without damage the following minimum design loadings as per the Southern Building Code. 1 . Distributed in full lengt,h Page - 4 . . Capacity to sustain the above loadings shall be demonstrated by detailed structural analysis made by a registered structural engineer. Design capacity shall be confirmed by field testing of one installed shelter. Calculations bearing the name, address and professional seal of the structural engineer shall be submitted with shop drawings upon request. GLAZING All glazing shall be a minimum of 1/4" thick bronze tempered glass. Glazing panels must be 4' x 6' in s~ze (nominal). .Glazing must be adequately supported and engaged in order to susta~n the minimum loading specified. Mullions must, be of minimum width to enhance the appearance of the shelter. Supports shall be such that it will permit simple field installation of glazing and future reglazing as may be, required. Glazing shall be securely fastened to the shelter in a tamperproof manner. There shall be a minimum op~ning of 4" (8" max.) from the ground to the bottom edge of the rear glazing panels and a minimum of 4" (8" .max.) from the upper edge of the rear panels to the roof in order to allow the wind to blow through the shelter. If necessary, glazing can be installed in such a manner as to completely enclose the unit. ROOF , The shelter roof shall be opaque, weathertight and nominally flat 1/8" per footmax. (Slope measured, along the shortest dimensions.) If more than one panel is used, the assembly includes roof members which run continuously between adjacent panels and provide both structural support and a weather seal. Both top and bottom panel surface (ceiling) shall be finished and light in color. The roof shall withstand a uniform live load of 30 PSF over its entire surface with total recovery after removal, of load, maximum deflection as specified in the Southern Building Code, and without any, cracks or other damages. Roof assembly shall be compatible with any environment; Roof shall be securely fastened to the shelter in a concealed or tamper proof manner. Roof shall be leak proof and must be designed so that a minimum of ninety percent (90%) of ,roof drainage is off the rear of the shelter. FASCIA The shelter roof frame shall incorporate a fascia. Fascia finishes shall be the same as those specified for the framework. The fascia beam must run continuously around the roof edge. ADVERTISING , The shelter shall be equipped fro display advertising, incorporating a standard size advertising panel with poster dimensions of 48" wide x 69" high. Panel shall provide for two advertising faces back to back with a single lighting source . contained within the panel cabinet. Cabinet 'shall have two h~nged Page - 5 . , . . doors and contain 3/16" clear tempered glass covering to protect the advertising copy and the light fixtures. Four 72" T-12 high output/cool white 80 watt fluorescent bulbs shall be provided for double faced advertising panel. Shelter circuit shall be grounded, fused and amperage ~iring required are as per, the Southern Building Code. All fixtures connections conduit and fusinq shall be approved for turning on and off the lights in the advertis~ng panel. As a minimum, a photo-electric cell and all the necessary electrical , conduits inside the shelter structure shall be provided for all shelters. This space will also be used to display maps which provide consumer information regarding bus routes. NOTICE OF ACCEPTANCE: SPECIFIC CONDITIONS 1. This approves a bus stop shelter constructed of 'aluminum extrusions and glazed with glass panels and including a bench and illuminated, enclosed advertising display cabinet. 2.
