AGREEMENT
This AGREEMENT is made and entered into as of the /~
day of ~/JrmJl!Jte ,1998 by and between Augusta, Georgia, a
political subdivision of the State of Georgia ("Augusta") and the
Medical College of Georgia ("MCG").
WHEREAS, Augusta provides an annual Health Fair for the
benefit of its employees, said Health Fair to include services such
as administration of influenza vaccinations and blood pressure and
other tests; and
WHEREAS, Augusta desires that students from MCG's School
of Nursing provide these services in connection with the Health
Fair; and
WHEREAS, MCG is willing and able to provide to Augusta
students from its School of Nursing for the Health Fair under the
terms and conditions set forth herein.
NOW, THEREFORE, for and in consideration of the mutual
promises and covenants contained herein, and other good and
valuable consideration, the receipt and sufficiency of which is
hereby acknowledge, the parties hereto, intending to be legally
bound do hereby agree as follows:
1. STUDENTS. MCG agrees to provide to Augusta students
from its School of Nursing (the "Students"), the number to be
mutually agreed upon by the parties, to perform the following
services on the dates of October 15, 16 and 23, 1998:
a. Administration of influenza vaccinations;
b. Administration of blood pressure tests;

d. Administration of hearing and V1Slon tests.
2. RESPONSIBILITIES OF AUGUSTA.
a. Augusta shall organize and manage the Health
Fair and shall determine the eligibility of employee participants.

b. Augusta shall provide adequate facilities in
which the Students may carry out the services contemplated herein.
c. Augusta shall, upon request, assist MCG in the
evaluation of the Students participating in the Health Fair.
3. RESPONSIBILITIES OF MCG.
a. MCG agrees that the Students it provides to
Augusta pursuant to this Agreement shall be qualified and properly
prepared to carry out the services contemplated herein. All
Students must be mutually acceptable to both parties, and either
party may withdraw any Student from the Health Fair based upon
perceived lack of competency on the part of the Student, the
Student's failure to comply with the rules and policies of Augusta
or f'.1CG, or for any other reason where either party reasonably
believes that it is not in the best interest of the Health Fair for
the Student to continue participation.
b. MCG shall assign one or more faculty member(s)
from the School of Nursing to oversee the Students' participation
in the Health Fair. Said faculty members shall be qualified to
perform such services and shall be appropriately licensed. Upon
request, MCG shall provide evidence of licensure to Augusta.
c. MCG shall require all participating facul ty and
Students to show proof of health insurance if required by Augusta,

participating in the Health Fair comply with Augusta's rules,
regulations and procedures, and shall use its best efforts to keep
said Students informed as to the same and any changes therein.
Specifically, MCG shall keep each Student apprised of his or her
responsibility:
1. To follow the administrative policies,
standards and. practices of Augusta
during the duration of the Health Fair.

2. To provide the necessary and appropriate
uniforms and supplies required where not
provided by Augusta.
3. To report to the Health Fair on time, and
to remain in service there until excused
by Augusta.
4. To confirm to the standards and practices
established by MCG while performing
services under this agreement for Augusta.
5. To keep in confidence all medical and health
information pertaining to employee participants
in the Health Fair.
4. The parties agree to work together to maintain an
environment of quality clinical learning experiences for the
Students and quality care for Augusta employees participating in
the Health Fair. At the insistence of either party, a meeting or
conference shall be promptly held between MCG and Augusta
representatives to resolve any problems or to develop any
improvements in the contemplated provision of services.
5. TERM. This Agreement shall be in effect from October 15,
1998 to October 23, 1998.
6. MISCELLANEOUS.
a. This Agreement is the entire agreement between the
parties as to the subject matter set forth herein, and may not be
amended except by writing signed by both parties.
b. This Agreement shall be construed according to and
governed by the laws of the State of Georgia.
c. This Agreement may not be assigned, in whole or in
part, except by the prior written consent of Augusta.
d. Any disputes arising out of, or in connection with
this Agreement shall be tried in the Superior Court of Richmond
County, Georgia, and the parties hereby consent to said venue and
waive any right to contest said venue.
