AGREEMENT
RICHMOND COUNTY
THIS AGREEMENT, made and entered into as of the /a day of .2A::re~r
1999, by and between AUGUSTA hereinafter referred to as "AUGUSTA" and the RURAL
METRO CORPORATION hereinafter referred to as "RURAL/METRO."
WITNESSETH:
WHEREAS, AUGUSTA, by and through the Augusta-Richmond County Fire
Department, and RURALIMETRO work together in emergency and rescue situations, and
WHEREAS, AUGUSTA desires to acquire "Jaws of Life" and related emergency
extrication equipment and RURALIMETRO desires to transfer to AUGUSTA one (1) "Jaws of
Life" and related emergency extrication equipment, and to lease to AUGUSTA one additional
"Jaws of Life" and related emergency extrication equipment, all under certain specified terms
and conditions; and
. WHEREAS, the parties desire to set forth the terms and conditions under which transfer
shall be made; and
NOW THEREFORE, in consideration of the promises and mutual agreements hereinafter
set forth, it is agreed that:
1. RURALIMETRO, for and in consideration of the payment of Six Thousand Eight
Hundred Fifty Eight Dollars and 31 cents ($ 6,858.31), and for other good and
valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, has effective of the specified date, granted, sold, transferred; and
delivered AUGUSTA one "Jaws of Life" and related equipment, as documented in
Exhibit A attached hereto.
2.. RJ]RALIMETRO willlease to AUGUSTA, for the sum of One Dollar ($1) one
additional "Jaws of Life" and related equipment, as described in Exhibit A attached
hereto, to be returned to RURALIMETRO in the event that the AUGUSTA ceases to
provide extrication services with the equipment, provided that the equipment is in a
serviceable condition.
3. AUGUSTA agrees to maintain the leased equipment in a manner consistent with.the
manufacturer's guidelines at its own expense.

4. AUGUSTA agrees to provide extrication services for RURAL/METRO, in the event
that RURAL/METRO calls for such services. AUGUSTA agrees not to bill
RURAL/METRO for these services.
5. AUGUSTA acknowledges that RURAL/METRO does not make any representation,
. warranty ,or covenant, express or implied, with respect to the merchantability,
condition, quality, durability, design, operation; fitness for use, or suitability of the
above-referenced "Jaws of Life" or related emergency extrication equipment in any
respect whatsoever.
6. To the extent allowed by law, AUGUSTA hereby agrees to hold RURAL/METRO
harmless from all claims, causes of action, damages, or losses arising out of
AUGUSTA's storage, use and possession of the "Jaws of Life" and related equipment.
7. AUGUST A and RURAL/METRO agree to work together to develop and implement
patient handling protocols to ensure the safety of the patient, medics and rescue
personnel.
8. This AGREEMENT shall be controlled by and construed in accordance with the laws
of the State of Georgia.
9. This AGREEMENT is the entire agreement between the parties, and may not be
amended except by a writing executed by both parties. ..
IN WITNESS WHEREOF, AUGUSTA and RURAL/METRO have caused the execution
of this AGREEMENT as of the day. and year first above written~
