THIRD AMENDMENT TO LEASE AGREEMENT

This Third Amendment to Lease Agreement made this~ day of A9~, . 1996
between THE AUGUSTA AVIATION COMMISSION (hereinafter referred to as the
"Lessor") and REPUBLIC/PAYNE PARKING SYSTEM. formerly d/b/a Air Terminal
Parking Company of Georgia, a partnership, with its principal office at Chattanooga,
Tennessee (hereinafter referred to as the "Lessee").
WITNESSETH
WHEREAS, Lessor and Lessee entered into a Lease Agreement dated
December 27, 1976 with respect to the lease of certain areas in the Airline Terminal
Area of Bush Field Airport, Augusta, Georgia, for the operation of automobile parking
lots, Article VI, Paragraph A of said Agreement provided that the term of the Lease
would terminate on December 31, 1981; and
WHEREAS, the parties executed a First Amendment to the Lease Agreement
entitled "Amendment to Lease" dated June 27, 1979 expanding the commercial parking
area leased by Lessee and extending the term of the Lease to December 31, 1991 and
making other amendments to the Lease Agreement; and
WHEREAS, the parties executed a Second Amendment to the Lease Agreement
entitled "Second Amendment to Lease Agreement" dated June 6, 1991 expanding the
commercial parking leased by Lessee and extending the term of the Lease to
December 31. 1996 and making other Amendments to the Lease Agreement, and;
WHEREAS, it is in the best interest of both parties to extend the Lease for an
additional term to December 31,2001
NOW, THEREFORE, in consideration of the terms and conditions set forth

1976 as follows:
1. Term of Lease. Article VI, Paragraph A of the original Lease Agreement
entitled Term of Aqreement is amended to include the following:
The Lease Agreement shall be extended for an additional five (5) years,
commencing January 1, 1997 and terminating on December 31. 2001.

2. Name of Lessee. The name of the Lessee shall be amended to read
"Republic/Payne Parking System".
3. All other provisions of the original Lease as amended shall remain in full force
and effect except the Amendment provided herein as to the term of the Lease. It is
expressly understood by the parties that except as amended herein, the terms of the
original Lease as amended by the First Amendment will control the various rights and
dues of the parties. In the event a term of this Third Amendment shall be found to be in
conflict with the term of the original Lease or the First or Second Amendment to said
Lease, this Amendment shall control.
IN WITNESS WHEREOF, the parties hereto have executed these presents,
each for themselves and their successors and assigns, as of the date and year first
above written.
