ASSIGNMENT AND ASSUMPTION AGREEMENT
This Assignment and Assumption Agreement ("Assignment") is made and entered into
this b'a day of June, 2001 (the "Effective Date") by and between Augusta, Georgia, a political
subdivision of the State of Georgia, and University Health Services, Inc, d/b/a University
Hospital, a Georgia non-profit corporation ("University"), with the consent of E.M.S. Ventures,
Inc., a Georgia corporation d/b/a Rural/Metro Ambulance ("Rural/Metro"),
RECIT ALS:
WHEREAS, the Richmond County Hospital Authority ("RCHA"), a governmental
entity, is obligated pursuant to that certain contract with Richmond County, Georgia, dated
September 23, 1971, to provide ambulance services for Augusta, Georgia;
WHEREAS, University assumed the obligations of RCHA to provide ambulance
services for Richmond County, Georgia under that certain contract between University and
RCHA dated December 14, 1984;
WHEREAS, University engaged RurallMetro to manage the provision of ambulance
services in Augusta, Georgia under the terms and conditions contained in that certain
Management Services Agreement between University and Rural/Metro dated June 21" 1996'
(attached hereto as Exhibit "A"), as Amended and Restated effective May 3, 2001 (attached
hereto as Exhibit liB ");
WHEREAS, Rural/Metro has been designated as the Primary Zone Provider for Augusta,
Georgia by ,the Georgia Department.of'Human Resources ('~:OHR") pursuant to the Regional
Ambulance Zoning Plan for Augusta, Georgia; and
WHEREAS, Rural/Metro serves as a secondary Public Safety Answering Point for 911
requests for emergency medical services in Augusta, Georgia;
NOW THEREFORE, in consideration of the mutual promises, covenants, and
agreements contained herein, and for other good and valuable consideration, the receipt and
, sufficiency of which is hereby acknowledged, the parties agree as follows:
1. University hereby assigns and Augusta, Georgia hereby accepts assignment of all of University's
right, title, interest, and all duties under the Amended and Restated Management Services
Agreement ("Agreement") between, University and Rural/Metro dated May 3, 2001
pursuant to Paragraph 5.1 (b) of said Agreement, including but not limited to University's
obligations to pay the Management Services Fee pursuant to Article II of the Agreement
. and University's right to appoint members of the Advisory Quality Assurance Oversight

2. Notwithstanding the foregoing, University shall continue to provide Rural/Metro facilities for
statio~ing ambulances and crews at 3121 Peach Orchard Road (the "Facility") at no cost

3, Rural/Metro hereby consents to this Assignment and releases University from all liability arising
on or after the Effective Date of this Assignment under the Management Services
Agreement dated June 2, 1996 and the Amended and Restated Management Services
Agreement dated May 3, 2001,

TERMINATION AGREEMENT
This Termination Agreement ("Agreement") is made and entered into this day of
June, 2001 (the "Effective Date") by and between Augusta, Georgia, a political subdivision of
the State of Georgia, and the Richmond County Hospital Authority ("RCHA") with the consent
of University Health Services, Inc. d/b/a University Hospital, a Georgia non-profit corporation-
("Universi ty"),
RECITALS:
WHEREAS, the Richmond County Hospital Authority ("RCHA"), a governmental
entity, is obligated pursuant to that certain contract with Richmond County, Georgia, dated
September 23, 1971, to provide ambulance services for Augusta/Richmond County, Georgia;
WHEREAS, University assumed the obligations of RCHA to provide ambulance
services for Richmond County, Georgi~,~nder that certain contract between University and
RCHA dated December 14, 1984;
WHEREAS, University engaged Rural/Metro to manage the provision of ambulance
services in Augusta/Richmond County under the terms and conditions contained in that certain
Management Services Agreement between University and Rural/Metro dated June 21, 1996, as
Amended and Restated effective May 3,2001;
WHEREAS, RurallMetro has been designated as the Primary Zone Provider for
Augusta, Georgia by the Georgia Department of Human Resources ("DHR") pursuant to the
Regional Ambulance Zoning Plan for Augusta/Richmond County;
\VHEREAS, RuraliM:etro serves as a secondary Public Safety Answering Point for 911
requests for emergency medical services in Augusta, Georgia; and
WHEREAS, University has assigned to Augusta, Georgia its Management Services
Agreement with RurallMetro;

NOW, THEREFORE, in consideration of the mutual promises, covenants, and
agreements contained herein, and for other good and valuable consideration, the receipt and
sufficiency of which is hereby acknowledged, the parties agree as follows:
That certain contract dated September 23, 1971 between RCHA and Richmond
County pertaining to the provision of ambulance services is terminated as of the
Effecti ve Date.
