AGREEMENT FOR THE PROVISION OF SERVICES TO
AUGUSTA RICHMOND COUNTY, GEORGIA
THIS AGREEMENT entered into August 1,2009, between Augusta Richmond County
Georgia (herein referred to as the "County") and American Red Cross, Augusta Chapter (herein
referred to as the "Provider).
WHEREAS, the County desires to have certain services provided for the County and/or
its citizens as more fully herein set forth; and
WHEREAS, the Provider is willing and able to provide said services upon the terms and
conditions herein set forth;
NOW, THEREFORE, in consideration of the premise and the mutual covenants herein
set forth, the adequacy of which is hereby acknowledged by each party, it is hereby agreed as
follows:
1. Services To Be Provided. The Provider shall perform and provide the County and
its citizens those services set forth in Exhibit "A" attached hereto and made a part
thereof. Such services shall be perfonned during a one year period beginning on
the date of this Agreement. In perfonning such services, the Provider shall
coordinate with the County's Fire Chiet7Emergency Management Agency (EMA)
Director andlor his/her designee. Provider shall furnish to the County upon its
request reports of the status of the providing services hereunder and the
arrangements that have been made for the completion of performance of such
servIces.
2. Payment For Services. Tn consideration of the services to be performed by the
Provider hereunder, the County shall pay to the Provider the amount of Twenty
Five Thousand Dollars ($12,500.00), which is due and payable upon the
execution and delivery of this Agreement. This payment shall be the total amount
of all compensation required to be aid by t.he County hereunder. The Provider
shall be responsible for all costs and expenses in any way related to the providing
of the services herein provided for.
3. No Assignment. The Agreement may not be assigned by the Provider without the
prior written consent of the County.
4. Sole Agreement. Amendment. This Agreement constitutes the sole and entire
agreement between the parties as to the matters described herei n, and supersedes
EXHIBIT "A"
The Provider shall perform and furnish the following services under the terms of the
foregoing contract:
. Provide immediate emergency relief to victims of disaster who need assistance by
ensuring that:
o If needed, mass shelter care will be provided for those displaced by a larger scale
disaster, as well as, food to emergency workers in the affected area.
o If needed, replacement of certain medical needs including prescription medicines
and eyeglasses.
o Provide Community Disaster Education to the community through Be Red Cross
Ready programs and distribution of disaster preparedness brochures.
o Send emergency communication messages for Armed Forces personnel and their
families.

all prior agreements and understandings between the parties. This Agreement
may be amended only by an instrument in unity signed by the parties hereto.
5. Binding Effect. This Agreement shall be binding upon the parties hereto, their
successors and assigns, provided that in the case of the Provider the assignment
has been converted to by the County as provided herein.
6. Governing Laws. This Agreement has been entered into and is to be performed in
Georgia, and shall be governed and construed in accordance with the laws of the
State of Georgia.
7. Financial Statements. Section SOl Status. Upon the execution and delivery of this
Agreement, Provider shall furnish to the County a copy of its most recent annual
financial statement, including a balance sheet and statement of operations audited
by a certified public accountant licensed to practice in Georgia and a copy of the
Section 501 determination Jetter issued by the Internal Revenue Service
confirming the Provider's tax exempt status.
IN WITNESS WHEREOF, the parties hereto have caused this agreement to be executed by
