_, is to cover the procurement of Computer Hardware, Proprietary Software products and services by New World for.

The attached configuration (Exhibit I) describes the products and services that Customer will be obtaining through New
World. By their written approval below, Customer authorizes New World to order the Exhibit 1 products for delivery to:

Upon execution of this Agreement, a down payment of 50% of the. Exhibit I cost is due. The balance is due upon
delivery of the hardware. Customer agrees that failure to pay the amount billed within' fifteen (15) days will result in
a daily finance charge equal to .\ % (.00 I) of the Exhibit I cost. If applicable, the finance charge will be computed
and invoiced separately based on the receipt of Customer's payment to New World for Exhibit I amounts due.
Customer agrees to pay all applicable finance charges (if any) promptly.
Customer is responsible for the site preparation and related costs to install the Exhibit I products. Customer is responsible for
any returned product charges, including re-stocking and shipping fees, for all 3rd party products ordered by New World on the
Customer's behalf. Actual and reasonable travel expenses incurred by New World, and actual employee travel time up to but
not exceed four (4) hours per Customer visit, are in addition to the Exhibit I cost and will be billed weekly as incurred.
Any taxes imposed from the course of this Agreement are the responsibility of the Customer and Customer agrees to remit
when imposed. If an exemption is claimed by the Customer, an exemption certificate must be submitted to New World.
After execution ofthis Agreement, the Exhibit I components and cost may be changed by mutual agreement of both parties. If
a change order in the configuration requires additional costs, New World shall notify Customer of the additional costs and
with Customer's approval, these costs shall be borne by Customer. Without such approval, the change order will not be
processed.
Customer shall or may be required to execute selected Agreements with vendors and New World shall not confirm the
ordering of any Exhibit] products without Customer's authorized signature on these Agreements. Customer shall receive the
benefit of all warranties, services, etc. provided for in the Agreements.

Customer must have a PC to be used as a system console that is attached to the iSeries 400.

Client Access for OSI400 V5R2 currently supports Windows 981Me, Windows NT and
Windows 2000/xP client workstations. Future releases of Client Access for OSI400 will no
longer support Windows 98 and Me operating systems.

All proposed IBM hardware and peripherals include a minimum one-year warranty, unless
otherwise stated. IBM's Service Suite represents a significant cost savings over standard
annual maintenance. Maintenance is included in the IBM Service Suite package.

The above hardware and system software costs assume the licensing of New World Systems'
application software and support as part of a complete solution.

The processor has been configured based on the proposed software. Additional disk andlor
memory may be needed should Customer elect to purchase additional software for the
eServer iSeries.

This configuration assumes the use of Customer's existing peripherals. New World will be
happy to assist in the acquisition of additional hardware, which Customer may wish to
purchase.

This configuration assumes that existing PCs operating on the LAN are equipped with Ethernet
Cards, and that there are no twin ax devices attached to the iSeries 400.

With the Operations Console PCI Cable included as part of the iSeries 400 configuration, the
customer must provide a PC to be used as the system console attached to the iSeries 400.
The PC should be a minimum Pentium 200MHz with at least 128MB of memory.

This configuration assumes that Customer has an IP-installed printer that could be used for
system printing capabilities.

12 A detailed study of Customer's current environment may reveal the need for additional
hardware and/or software for purposes of connectivity.

Cabling has not been proposed.. Due to the various requirements in terms of cabling and
connections for different personal computers and printers as well as various local requirements
(i.e., building codes, use of union personnel, use of electricians, etc.), New World recommends
that the customer contract with a local firm for any cabling requirements. New World Systems
works closely with local vendors in this context providing them with the required specifications
and alerting them to any issues.

Operating system software costs are based on the number of concurrently signed-on users for
each package. Verification of the number of concurrent users is required as the price may
vary from the above estimate.
