AGREEMENT
This Agreement is made and entered into effective May 1,
1998, by and between Augusta, Georgia, a political subdivision of
the state of Georgia ("Augusta"), and World Gym.
1. Membership Agreement. Pursuant to the terms and
conditions of this Agreement, employees of Augusta shall be
entitled to become members of the World Gym fitness facility
located in Augusta, Georgia. Employees shall be entitled to the
same benefits of membership as all other members of the World
Gym. Specific membership benefits shall be outlined in a written
agreement between World Gym and employee members.
2. Payment. The membership fee for Augusta employees
under this Agreement shall be $12.00 per employee, which fee
shall be paid through an automatic monthly payroll deduction for
each employee. Family members of employees may also become
members of World Gym under this Agreement for a fee of $12.00 per
month, provided each family member's fee is also paid through an
automatic monthly payroll deduction for the employee.
3. Term. This Agreement shall begin effective May 1, 1998
and continue for one (1) year, ending April 30, 1999. World Gym
agrees 'to provide Augusta with notice GO days prior to the
schedul,~d expiration of the Agreement term. Unless Augusta
notifies World Gym within said GO-day period of its intent to
terminate the Agreement, the Agreement shall automatically renew
for additional one year terms. World Gym further agrees to
provide notice to Augusta sixty days prior to the expiration of
each renewal term of this Agreement, such that Augusta may elect
to terminate this Agreement at such time.
4. Billing. Augusta will be billed each month for all
enrolled employees and family members and shall make payment by
check to World Gym for same, at the following address: UbI" 10. G~'M.

5. Miscellaneous. This Agreement is the entire agreement
between the parties and may not be altered, amended or modified
except by a writing signed by both parties. This Agreement is
governed by and shall be construed according to the laws of the
State of Georgia.
