The Letter of Agreement to Provide Investment Banking Services (the "Agreement")
between AG. Edwards & Sons, Inc. (the "Firm") and Augusta, Georgia ("Augusta"),
dated October 4, 2002, is hereby amended to add Merrill Lynch & Co. as a party to the
Agreement. Together, AG. Edwards & Sons, Inc. and Merrill Lynch & Co. will be
referred to as the investment banking team (the "Team"). The Team will work jointly
throughout the remaining term of the Agreement to provide the professional advice,
assistance and investment banking services necessary to enable Augusta to achieve its
financing objectives in the most cost-effective manner.
The Agreement is further amended to designate Todd Barnes as the person primarily
responsible for the services to be rendered by AG. Edwards, and to designate Mark
Widener as the person primarily responsible for the services to be rendered by Merrill
Lynch & Co.
It is understood that the addition of Merrill Lynch & Co. to the Team will not result in an
increase in the investment banking fees to be paid by Augusta in connection with any
future financing. The fees that would have been payable to A.G. Edwards will be shared
with Merrill Lynch & Co. on a mutually agreeable basis.
