COUNTY OF RICHMOND
THIS FIRST AMENDMENT TO THE EMPLOYMENT AGREEMENT
("Agreement")is made this 18th day of June, 2019 (the"Effective Date"), by and between
Augusta, Georgia, a political subdivision of the State of Georgia, acting by and through its
Augusta Aviation Commission for the Augusta Regional Airport at Bush Field(hereinafter
called "Aviation Commission"),and Herbert L.Judon,Jr.,(Employee)both of whom agree
as follows:
WITNESSETH:
WHEREAS, the Aviation Commission and Employee entered into that certain
Employment Agreement on May 7,2016 to employ the services of Employee as the Director
of the Augusta Regional Airport at Bush Field; and
WHEREAS, the Aviation Commission desires to continue to employ the services
of Herbert L. Judon,Jr., as the Executive Director for the Augusta Regional Airport at Bush
Field; and
WHEREAS,it is the desire of the Aviation Commission to provide certain benefits,
to establish certain conditions of employment, and to set working conditions of said
Employee; and
WHEREAS, Employee desires to accept employment by the Aviation
Commission as the Executive Director for the Augusta Regional Airport at Bush Field
under the terms set forth herein.
NOW THEREFORE, in consideration of the mutual covenants herein contained,
the parties agree as follows:
1. Capitalized terms not defined herein shall have the meaning ascribed to such term in
the Agreement.
2. Section 2: Term, subsection A of the Agreement is hereby deleted in its entirety
and replaced with the following:
A. Employee agrees to remain in the exclusive employ of the Aviation
Commission from June 18, 2019 to December 31, 2021, and neither to
accept other employment nor become employed by any other Aviation
Commission until said termination date or one of the following:
(i) Employee dies

(ii) Employee becomes Disabled (as hereinafter defined);
(iii) The Aviation Commission elects to terminate this Agreement for
Cause (as hereinafter defined) and notifies Employee, in writing, of
such election;
(iv) The Aviation Commission elects to terminate this Agreement
without Cause and notifies Employee, in writing, of such election;
or
(v) Employee elects to terminate this Agreement and notifies the
Aviation Commission, in writing, of such election.
If this Agreement is terminated pursuant to clause (i), (ii), or(iii)of this
Section 2A, such termination shall be effective immediately. If this
Agreement is terminated pursuant to clause(iv) or(v) of this Section 2A,
such termination shall be effective upon the date set forth in such written
notice of termination.
3. Section 7: Salary of the Agreement is hereby deleted in its entirety and replaced
with the following:
A. Aviation Commission agrees to pay Employee for his services rendered,
and agrees to increase the Employee's annual base salary by ten percent
(10%)to the amount of$190,386.66,payable in installments at the same
time as other management employees of the Aviation Commission are paid.
4. Section 23:Notices,subsection(2)of the Agreement is hereby deleted in its entirety
and replaced with the following:

5. All other terms and conditions of the Agreement that are not modified by this
Amendments shall continue in full force and effect.
IN WITNESS WHEREOF, the Aviation Commission has caused this First
Amendment to the Agreement to be signed and executed by its duly authorized officials and
the Employee has signed and executed this Agreement, both in duplicate, the day and year
first above written.
